Space Exploration Technologies Corp. reported that it completed a major private debt financing on June 26, 2026, issuing a total of $25.0 billion in senior unsecured notes across five maturities. The transaction followed the company’s June 22, 2026 commencement of the notes offering and was disclosed under Item 8.01, “Other Events,” of a Form 8-K. The company entered into an indenture with The Bank of New York Mellon Trust Company, N.A., as trustee, covering five series of notes: $7.0 billion of 5.350% Senior Notes due 2031; $6.0 billion of 5.650% Senior Notes due 2033; $6.0 billion of 5.875% Senior Notes due 2036; $2.5 billion of 6.600% Senior Notes due 2046; and $3.5 billion of 6.650% Senior Notes due 2056. The notes are unsecured obligations of Space Exploration Technologies and rank equally in right of payment with the company’s existing and future unsubordinated indebtedness, liabilities and other obligations. Interest on the notes will be paid semiannually in arrears on January 15 and July 15 of each year, beginning January 15, 2027. Holders of record as of the close of business on January 1 or July 1 immediately preceding an interest payment date will receive the applicable payment. The notes were sold in a private offering only to persons reasonably believed to be qualified institutional buyers under Rule 144A of the Securities Act, and outside the United States to non-U.S. persons under Regulation S. In connection with the issuance, the company also entered into a registration rights agreement with BofA Securities, Inc., Citigroup Global Markets Inc., Goldman Sachs & Co. LLC, J.P. Morgan Securities LLC and Morgan Stanley & Co. LLC, acting as representatives of the initial purchasers. Under that registration rights agreement, Space Exploration Technologies agreed to use commercially reasonable efforts to file and have declared effective a registration statement for an exchange offer. The exchange offer would allow holders to swap the privately placed notes for new exchange notes with substantially identical material terms, except that the exchange notes would not include transfer restrictions and certain additional-interest provisions. The company agreed to consummate the registered exchange offer no later than 540 days after the notes’ issue date. The notes include optional redemption provisions. Before the applicable “Par Call Date,” the company may redeem notes at a make-whole price based on the greater of 100% of principal or the present value of remaining scheduled principal and interest payments discounted at the Treasury Rate plus an applicable spread, plus accrued and unpaid interest. The disclosed par call dates are June 15, 2031 for the 2031 notes, May 15, 2033 for the 2033 notes, April 15, 2036 for the 2036 notes, January 15, 2046 for the 2046 notes and January 15, 2056 for the 2056 notes. The filing lists applicable make-whole spreads of +20 basis points for the 2031 notes, +25 basis points for the 2036 notes and +30 basis points for the 2056 notes; the table as provided does not clearly show corresponding spreads for the 2033 and 2046 notes. On or after the applicable par call date, each series may be redeemed at 100% of principal plus accrued and unpaid interest.
