Rivian Automotive, Inc. announced a large public equity financing, entering into an underwriting agreement on July 7, 2026, to sell 75,000,000 shares of its Class A common stock at a public offering price of $15.50 per share. The shares have a par value of $0.001 per share and trade under the ticker RIVN. Goldman Sachs & Co. LLC acted as representative of the several underwriters in the offering. Under the agreement, Rivian also granted the underwriters a 30-day option to purchase up to 11,250,000 additional shares at the same public offering price. The underwriters exercised that option in full on July 8, 2026, bringing the total number of shares to be sold to 86,250,000. At the $15.50 offering price, the full offering represents approximately $1.337 billion in gross proceeds before underwriting discounts, commissions and other expenses. Rivian estimated that net proceeds will be approximately $1.32 billion after those deductions. Rivian said it intends to use the proceeds for general corporate purposes. The company specifically noted that the funds may support certain equity contributions required under its amended and restated loan arrangement and reimbursement and sponsor support agreement with the U.S. Department of Energy. Under that arrangement, the DOE has agreed to arrange a multi-draw term loan facility to be provided by the Federal Financing Bank to a Rivian subsidiary as borrower. The offering was conducted under Rivian’s shelf registration statement on Form S-3, filed April 30, 2026, together with a base prospectus and a prospectus supplement dated July 7, 2026. The underwriting agreement includes customary representations, warranties, closing conditions, indemnification provisions, including Securities Act liability indemnities, and termination rights. The filing also included as exhibits the underwriting agreement with Goldman Sachs & Co. LLC, an opinion from Latham & Watkins LLP regarding the validity of the securities being issued, and the related legal consent. Rivian’s Chief Financial Officer, Claire McDonough, signed the report on July 8, 2026.

Rivian Automotive, Inc., is an American electric vehicle manufacturer and automotive technology company founded in 2009. It produces an electric sport utility vehicle and a pickup truck, both on a "skateboard" platform that can support future vehicles and be adopted by other companies. They also produce an electric delivery van, the Rivian EDV. The EDV is sold to Amazon for its deliveries. It started deliveries of its R1T pickup truck in late 2021. The company planned to build an exclusive charging network in the United States and Canada by the end of 2023. Rivian is based in Irvine, California, with its manufacturing plant in Normal, Illinois, and other facilities in Palo Alto, California; Carson, California; Plymouth, Michigan; Burnaby, British Columbia; Wittmann, Arizona; Woking, England; and Belgrade, Serbia. Rivian has plans to build another US$5 billion factory in Social Circle, Georgia. The company raised over US$13.5 billion in financing following its initial public offering in November 2021.
