O’Reilly Automotive, Inc. reported a senior executive appointment and related compensation arrangements in a Form 8-K dated July 10, 2026. The company appointed Colin Yankee as Executive Vice President and Chief Supply Chain Officer, effective July 13, 2026. In the new role, Yankee will oversee all aspects of O’Reilly’s supply chain operations, including merchandise, inventory management, distribution operations and transportation. The appointment adds an experienced retail logistics executive to O’Reilly’s leadership team at a time when inventory availability, distribution efficiency and transportation costs remain important operating factors for auto parts retailers. Yankee, age 49, joins O’Reilly after serving since February 2020 as Executive Vice President and Chief Supply Chain Officer at Tractor Supply Company. In that role, he was responsible for end-to-end supply chain operations, global sourcing and trade compliance, inventory management, and e-commerce and omni-channel operations. His prior experience also includes supply chain and distribution operations roles at Neiman Marcus and Target Corporation. O’Reilly disclosed Yankee’s compensation package as part of the Item 5.02 filing, which covers appointments of certain officers and compensatory arrangements. He will receive an annual base salary of $700,000 and will be eligible to participate in the company’s annual performance incentive compensation plan. His annual incentive target is 85% of base salary, tied to O’Reilly’s actual performance under the same criteria used for the company’s other executive officers. The company also said Yankee will receive equity compensation in the form of stock options. He is eligible for an annual stock option award with an estimated future fair value equal to 100% of his annual base salary, to be granted at the same time as annual awards for O’Reilly’s other executive officers. In addition, in connection with his hiring, he will receive a position-level stock option award with a grant-date fair value of $500,000, scheduled to be granted on July 13, 2026. The value of that award will be determined using the Black-Scholes option pricing model. The filing did not disclose a specific number of option shares, exercise price or vesting schedule. O’Reilly also entered into a change-in-control severance agreement with Yankee. The company said the agreement contains the same terms and provisions as those applicable to its other executive officers. He will also be eligible for other benefits and perquisites on terms substantially similar to those provided to other senior executives. The filing states that Yankee was not selected pursuant to any arrangement or understanding with another person, has no family relationships with any O’Reilly director or officer, and has no related-party transactions with the company requiring disclosure under Item 404(a) of Regulation S-K.
