Netflix, Inc.

Netflix, Inc. is an American media company founded on August 29, 1997, by Reed Hastings and Marc Randolph in Scotts Valley, California, and currently based in Los Gatos, California, with production offices and stages at the Los Angeles-based Hollywood studios and the Albuquerque Studios. It owns and operates an eponymous over-the-top subscription video on-demand service, which showcases acquired and original programming as well as third-party content licensed from other production companies and distributors. Netflix is also the first streaming media company to be a member of the Motion Picture Association. Netflix initially both sold and rented DVDs by mail, but the sales were eliminated within a year to focus on the DVD rental business. In 2007, Netflix introduced streaming media and video on demand. The company expanded to Canada in 2010, followed by Latin America and the Caribbean. In 2011, the service began to acquire and produce original content, beginning with the crime drama Lilyhammer. The company is ranked 117th on the Fortune 500 and 219th on the Forbes Global 2000.

Netflix, Inc. reported that it completed a registered public offering of $1.0 billion in aggregate principal amount of 5.250% senior unsecured notes due 2036 on July 22, 2026. The debt offering was conducted under an underwriting agreement dated July 20, 2026, between Netflix and BNP Paribas Securities Corp., Morgan Stanley & Co. LLC, RBC Capital Markets, LLC and Wells Fargo Securities, LLC, acting as representatives of the underwriters. The newly issued notes are senior unsecured obligations of Netflix and were issued under the company’s existing base indenture dated July 29, 2024, with Computershare Trust Company, National Association serving as trustee. The specific terms of the 2036 notes were established through a second supplemental indenture dated July 22, 2026. A form of the notes was included as part of that supplemental indenture. Netflix said it intends to use the net proceeds from the offering to repay, at maturity, its outstanding 4.375% Senior Notes due 2026, with remaining proceeds, if any, available for general corporate purposes. The transaction therefore appears aimed in part at refinancing near-term debt maturities while extending a portion of the company’s debt profile out to 2036, albeit at a higher stated coupon than the notes being repaid. The filing was made under Item 8.01, “Other Events,” and also included Item 9.01 exhibit disclosures. Netflix filed the underwriting agreement, the supplemental indenture, the form of notes and a legal validity opinion from Skadden, Arps, Slate, Meagher & Flom LLP. The company noted that these materials are being incorporated by reference into its automatic shelf registration statement on Form S-3ASR.
