Amazon.com, Inc. reported that it closed a large multi-tranche debt offering on July 9, 2026, issuing a total of $25.0 billion in senior notes across eight series with maturities ranging from 2029 to 2066. The offering was conducted under an underwriting agreement dated July 7, 2026, with Barclays Capital Inc., Goldman Sachs & Co. LLC, J.P. Morgan Securities LLC, and Morgan Stanley & Co. LLC serving as managers for the underwriters. The notes sold included $750 million of floating rate notes due 2029; $3.5 billion of 4.600% notes due 2029; $4.25 billion of 4.800% notes due 2031; $3.0 billion of 5.100% notes due 2033; $4.5 billion of 5.300% notes due 2036; $2.75 billion of 6.000% notes due 2046; $4.0 billion of 6.100% notes due 2056; and $2.25 billion of 6.250% notes due 2066. Amazon said the aggregate public offering price was $24.923 billion. Estimated net proceeds were approximately $24.867 billion after deducting underwriting discounts, but before deducting offering expenses payable by the company. The sale was registered under Amazon’s shelf registration statement on Form S-3 filed on February 6, 2026. The notes were issued under Amazon’s existing indenture dated November 29, 2012, originally with Wells Fargo Bank, National Association, as trustee, as later supplemented in April 2022 to include Computershare Trust Company, National Association, as successor trustee. An officers’ certificate dated July 9, 2026 established the specific terms for each series of notes. The Form 8-K was filed under Item 8.01, “Other Events,” and Item 9.01, “Financial Statements and Exhibits.” Amazon attached the underwriting agreement, the officers’ certificate, forms of each note series, and a legal opinion and consent from Gibson, Dunn & Crutcher LLP. The filing was signed by Antonio Masone, Amazon’s Vice President and Treasurer, on July 9, 2026.
