West Pharmaceutical Services, Inc. said it entered into a renewed long-term technology and distribution arrangement with Daikyo Seiko, Ltd., a Japanese company in which West maintains a 49% ownership interest. The agreements became effective July 14, 2026, and were reported by West in connection with Item 1.01, “Entry Into a Material Definitive Agreement.” The new arrangements consist of an Amended and Restated Technology Exchange and Crosslicense Agreement and two Distributorship Agreements. West said the terms are substantially similar to its prior agreements with Daikyo dated January 18, 2017, as later modified by a July 2, 2018 letter agreement and an October 15, 2019 amendment agreement. Under the cross-license agreement, West and Daikyo agreed to continue sharing know-how and cooperating on the joint development of products used in pharmaceutical packaging, delivery, administration and dispensing. The covered product areas include closures, vials, cartridges, syringes, medical device components and similar products. Each company may license the other’s know-how, patents and trademarks for the manufacture, use and sale of those products. The licensing rights are not identical by geography. Daikyo’s license from West is non-exclusive, while West’s license from Daikyo is exclusive outside Japan, subject to certain limited exceptions. The cross-license arrangement is generally royalty-free, except for a fixed royalty rate that applies to the licensing of certain patents and non-patented technical information. The distribution agreements preserve the companies’ regional roles. One agreement makes West the exclusive distributor of Daikyo products in all countries other than Japan, again subject to limited exceptions. The other authorizes Daikyo to act as a non-exclusive distributor of West products in Japan. West said the two distributorship agreements are otherwise substantially similar in material terms and conditions. Each of the agreements has a 10-year term. They may be terminated early in specified circumstances, including by mutual written consent or upon a change in control of either party. If the cross-license agreement is terminated, West and Daikyo agreed to negotiate within a specified period over the terms under which they may continue using shared know-how and trademarks and continue making, using or selling products under licensed patents. West said redacted copies of the agreements will be filed as exhibits to its Quarterly Report on Form 10-Q for the quarter ending September 30, 2026. The filing was signed July 14, 2026, by Norman D. Finch Jr., West’s Senior Vice President, General Counsel and Corporate Secretary.
