Verizon Communications Inc. insider Alfonso Villanueva Rodriguez reported a change in beneficial ownership of Verizon-related derivative securities dated July 16, 2026. The Form 4 was signed on July 17, 2026 by Evgeniya Berezkina as attorney-in-fact for Rodriguez. The reported security is phantom stock tied to Verizon common stock. According to the filing notes, each share of phantom stock represents the economic equivalent of a portion of one share of Verizon common stock, but it is settled in cash rather than delivered as actual shares. The phantom stock becomes payable upon events selected by the reporting person under Verizon’s deferred compensation plan. The filing also states that the reported holdings include phantom stock acquired through dividend reinvestment. That suggests the ownership change may relate at least in part to additional phantom stock credited as dividends were reinvested within the deferred compensation arrangement, rather than an open-market purchase or sale of Verizon common shares. The text provided does not disclose the specific number of phantom shares acquired or disposed of, the transaction code, transaction price, or the exact number of derivative securities beneficially owned after the transaction. As a result, the filing is best understood as reporting an insider’s updated economic exposure to Verizon stock through a cash-settled deferred compensation/phantom stock account, not a clearly identified market trade in VZ common stock.

About the company
Verizon Communications
Verizon Communications Inc. is an American telecommunications company headquartered in New York City. It is the world's second-largest telecommunications company by revenue and its mobile network is the largest wireless carrier in the United States, with 146.8 million subscribers as of March 31, 2026. The company was formed in 1983 as Bell Atlantic as a result of the breakup of the Bell System into seven companies, each a Regional Bell Operating Company, commonly referred to as "Baby Bells." The company was originally headquartered in Philadelphia and operated in the states of Pennsylvania, New Jersey, Delaware, Maryland, Virginia, and West Virginia. In 1997, Bell Atlantic expanded into New York and the New England states by merging with fellow Baby Bell NYNEX. While Bell Atlantic was the surviving company, the merged company moved its headquarters from Philadelphia to NYNEX's old headquarters in New York City. In 2000, Bell Atlantic acquired GTE, which operated telecommunications companies across most of the rest of the country not already in Bell Atlantic's footprint. Bell Atlantic, the surviving entity, changed its name to Verizon, a portmanteau of veritas and horizon.
