Seagate Technology Holdings plc insider James C. Lee reported transactions in Seagate ordinary shares on July 22, 2026, in connection with restricted share unit vesting and related tax withholding obligations. The filing shows two reported dispositions of ordinary shares: 1,237 shares and 1,561 shares, each at a price of $542.25 per share. Together, the transactions covered 2,798 shares and represented approximately $1.52 million in value at the reported price. The filing explains that the sales were made under Seagate’s issuer-mandated “sell-to-cover” process solely to satisfy tax withholding obligations, meaning the transactions were tied to equity compensation taxes rather than a discretionary sale for investment purposes. The equity award involved restricted share units, or RSUs, with each RSU representing a contingent right to receive one Seagate ordinary share. The RSUs were granted to Lee under the Seagate Technology Holdings plc 2022 Equity Incentive Plan. According to the explanatory note, the award vested as to one-quarter of the shares on July 22, 2025, with the remaining shares vesting in equal quarterly installments thereafter. The Form 4 was signed on Lee’s behalf by Louis J. Thorson as attorney-in-fact on July 24, 2026. The provided filing text does not state Lee’s beneficial ownership total after the reported transactions, but the reported action indicates a routine tax-related share sale associated with RSU vesting rather than an open-market insider sale initiated for portfolio reasons.

About the company
Seagate Technology Holdings
Seagate Technology Holdings plc is an American data storage company. It was incorporated in 1978 as Shugart Technology and commenced business in 1979. Since 2010, the company has been incorporated in Dublin, Ireland, with operational headquarters in Fremont, California, United States. Seagate developed the first 5.25-inch hard disk drive, the 5-megabyte ST-506, in 1980. They were a major supplier in the microcomputer market during the 1980s, especially after the introduction of the IBM XT in 1983. Much of its growth has come through its acquisition of competitors. In 1989, Seagate acquired Control Data Corporation's Imprimis division, the makers of CDC's HDD products. Seagate acquired Conner Peripherals in 1996, Maxtor in 2006, and Samsung's HDD business in 2011. Today, Seagate, along with its competitor Western Digital, dominates the HDD market.
