Quantum-Si Incorporated reported that it received a Nasdaq deficiency notice after its stock traded below the exchange’s minimum bid price requirement. The company said that on July 23, 2026, it received written notice from the Listing Qualifications Department of The Nasdaq Stock Market LLC stating that the closing bid price of Quantum-Si’s Class A common stock had been below $1.00 per share for 30 consecutive business days. As a result, Nasdaq informed the company that it no longer satisfies the minimum bid price requirement for continued listing on The Nasdaq Global Market under Nasdaq Listing Rule 5450(a)(1). Quantum-Si emphasized that the notice has no immediate effect on the listing or trading of its Class A common stock, which continues to trade on The Nasdaq Global Market under the ticker symbol QSI. The company also said the notice does not affect its ongoing business operations or its SEC reporting obligations. The securities involved are Quantum-Si’s Class A common stock, par value $0.0001 per share; no share issuance, sale, insider transaction, option exercise, or change in ownership was reported in the filing. Under Nasdaq Listing Rule 5810(c)(3)(A), Quantum-Si has an initial 180-calendar-day period to regain compliance, giving it until January 19, 2027. To cure the deficiency, the closing bid price of QSI common stock must be at least $1.00 per share for a minimum of 10 consecutive business days, unless Nasdaq staff exercises discretion to require a longer period under Rule 5810(c)(3)(H). If Quantum-Si does not regain compliance by January 19, 2027, it may be eligible for an additional 180-calendar-day compliance period. To qualify for that extension, the company would need to transfer its listing to The Nasdaq Capital Market, satisfy the continued listing requirement for market value of publicly held shares and all other initial listing standards except the bid price requirement, pay a Nasdaq application fee, and notify Nasdaq staff in writing that it intends to cure the deficiency during the extended period, including by implementing a reverse stock split if necessary. If Nasdaq staff determines that the company cannot cure the deficiency, or if Quantum-Si fails to regain compliance during any additional compliance period, Nasdaq would issue a delisting notice. Quantum-Si would then have the right to appeal to a Nasdaq Hearings Panel, though the company cautioned that there is no assurance such an appeal would succeed. The company said it intends to monitor the closing bid price of its common stock and consider available options to regain compliance. The filing was signed on July 24, 2026, by Chief Financial Officer Jeffry Keyes.
