PowerShares QQQ Trust, Series 1, the exchange-traded trust associated with the QQQ ticker, reported a change involving its independent auditor. On September 3, 2014, the Trust retained PricewaterhouseCoopers LLP as its independent registered public accounting firm. The filing was made under Item 4.01, “Changes in Registrant’s Certifying Accountant,” which is used when a company or fund changes or appoints its outside audit firm. The report does not describe any securities transaction, insider purchase or sale, share issuance, pricing, option award, or change in beneficial ownership. Instead, the corporate action is the engagement of PwC to serve as the Trust’s auditor. The Trust also stated that, during its fiscal years ended September 30, 2013 and September 30, 2012, and during the interim period from September 30, 2013 through September 3, 2014, neither the Trust nor anyone acting on its behalf consulted PwC about accounting principles for any completed or proposed transaction, the type of audit opinion that might be issued on the Trust’s financial statements, any disagreement as defined under SEC rules, or any “reportable event” under Regulation S-K Item 304. That disclosure is significant because it indicates PwC’s appointment was not preceded by consultations over disputed accounting treatments, audit opinions, or reportable accounting-control issues. The report was signed on September 8, 2014, on behalf of the Trust by Invesco PowerShares Capital Management, its sponsor, through Deanna B. Marotz, Chief Compliance Officer.
