Plug Power Inc. reported two real estate and infrastructure-related transactions with Stream US Data Centers, LLC, aimed at monetizing assets in New York and Texas and improving liquidity. On July 9, 2026, Plug Power and its wholly owned subsidiary, Plug Project Holding Co., LLC, amended an existing purchase agreement with Stream covering certain real property and related assets in Genesee County, New York, referred to as the New York Gateway Project. The original agreement, signed February 24, 2026, contemplated a sale price between $132.5 million and $142.0 million, depending on closing timing and the removal status of certain hydrogen storage spheres located on the property. Under the July 9 amendment, the transaction was restructured to allow an interim closing of the real property while leaving more time to satisfy remaining closing conditions, including regulatory and environmental review processes. The amendment extends the outside closing date to March 31, 2027, which fixes the purchase price at $142.0 million. It also provides for the prompt release to Plug Power of the full deposit previously held in escrow, plus accrued interest, totaling approximately $6.5 million. That amount will be credited against the purchase price if the transaction is completed. The amended New York agreement also requires Stream to deposit an additional $10.0 million with the escrow agent in connection with the interim real property closing. That amount also will be credited against the purchase price if the overall transaction is consummated. The amendment establishes a framework for transferring the real property before closing on the remaining assets, subject to specified conditions. If the full transaction does not close by the March 31, 2027 outside date after an interim closing, Plug Power will have a contractual right, under specified circumstances, to repurchase the conveyed real property for the amount paid at the interim closing. Stream’s ability to transfer or further encumber the property will also be restricted pending final closing or Plug Power’s exercise of its repurchase right. Separately, Plug Power and Stream entered into a new Purchase and Sale Agreement and Joint Escrow Instructions on July 9, 2026, covering certain real property and related assets in Graham, Texas, referred to in the filing as the Limestone Agreement. Stream agreed to pay $50.0 million at closing for the Texas assets. Plug Power may also receive a contingent earnout payment of up to $26.5 million, based on the electrical load capacity ultimately established for the project. The earnout will be calculated on a pro rata basis relative to a 164 MW reference capacity. The Texas transaction remains subject to several closing conditions, including the accuracy of representations and warranties, compliance with covenants, delivery of required closing documents, satisfaction of title, interconnection-related and governmental approval conditions, and the absence of certain legal or regulatory impediments. Stream has an inspection period through July 25, 2026, during which it may terminate the agreement in its sole discretion. If closing conditions are satisfied or waived, the parties expect the transaction to close on or before July 31, 2026. Either party may terminate the agreement if the closing has not occurred by the outside closing date, subject to the agreement’s terms. Plug Power also disclosed a preliminary liquidity figure: as of June 30, 2026, it had approximately $162 million of unrestricted cash and cash equivalents. The company said the figure is unaudited and preliminary and remains subject to normal quarter-end closing and accounting review.
