Nordson Corporation (NYSE: NDSN) reported that it established a new commercial paper program on June 2, 2026, creating a short-term financing vehicle that allows the company to issue unsecured commercial paper notes in private placements. The program permits up to $1.2 billion in aggregate principal amount of notes to be outstanding at any one time. In connection with the program, Nordson entered into substantially similar commercial paper dealer agreements with multiple commercial paper dealers. Under those agreements, the dealers may either purchase notes from Nordson or arrange for their sale by the company under exemptions from federal and state securities registration requirements. A national bank will serve as issuing and paying agent under a separate issuing and paying agent agreement. The notes may be issued from time to time, with maturities varying by issuance but not exceeding 364 days from the date of issue. Nordson said proceeds from the notes will be used for general corporate purposes. The notes may be sold either at a discount to par or at par with interest, with rates determined by market conditions at the time of issuance. The filing was made under Item 2.03, which covers the creation of a direct financial obligation or an obligation under an off-balance sheet arrangement. The commercial paper program gives Nordson additional flexibility to fund short-term liquidity needs, working capital, or other corporate uses, but any borrowings under the program would represent unsecured debt obligations of the company. Nordson also noted that the notes have not been and will not be registered under the Securities Act of 1933 or state securities laws. As a result, they may be offered and sold only through applicable exemptions from registration requirements. The company emphasized that the filing does not constitute an offer to sell or a solicitation to buy the notes in any jurisdiction where such activity would be unlawful.
