Norwegian Cruise Line Holdings Ltd. reported that shareholders approved an amended and restated equity incentive plan and voted on several governance and compensation matters at the company’s annual general meeting held June 11, 2026, at the Pullman Miami in Miami, Florida. The most consequential corporate action was the approval of the amended and restated Norwegian Cruise Line Holdings Ltd. 2013 Performance Incentive Plan. The Board had previously adopted the amendment and restatement subject to shareholder approval, and shareholders approved it at the annual meeting by a vote of 262,009,659 shares for, 9,510,085 against and 660,274 abstaining, with 91,672,477 broker non-votes. The amended plan increases the number of ordinary shares available for awards by 8,807,000 shares, raising the plan’s aggregate share limit from 48,009,006 shares to 56,816,006 shares. It also extends the plan’s expiration date to February 8, 2036. The plan is administered by the Board or committees appointed by the Board, with general administrative authority delegated to the Compensation Committee. Eligible participants include officers and employees of Norwegian Cruise Line Holdings and its subsidiaries, Board members, and certain consultants and advisers. Awards may include options, share appreciation rights, share bonuses, restricted shares, performance shares, share units, phantom shares, dividend equivalents and other share-based or cash bonus awards. The filing also describes share-counting rules, including that shares settled in cash may become available again, while shares not issued or tendered in connection with option or SAR exercises generally will not be recycled for future grants. Shareholders also elected three Class I directors to serve until the 2029 annual general meeting and until their successors are elected and qualified. Zillah Ellen Byng-Thorne received 247,005,384 votes for, 24,111,797 against and 1,062,837 abstentions. Alex Cruz received 267,945,117 votes for, 3,693,105 against and 541,796 abstentions. Linda P. Jojo received 258,428,913 votes for, 12,948,760 against and 802,345 abstentions. Each director election had 91,672,477 broker non-votes. On executive compensation, investors approved the company’s say-on-pay proposal on a non-binding advisory basis, with 233,387,448 votes for, 38,145,401 against and 647,169 abstentions. In a separate advisory vote on the frequency of future say-on-pay votes, shareholders favored holding the vote annually: 265,317,260 votes were cast for one year, compared with 498,761 for two years and 5,418,226 for three years, with 945,771 abstentions. Shareholders ratified PricewaterhouseCoopers LLP as Norwegian Cruise Line Holdings’ independent registered public accounting firm for the year ending December 31, 2026, and approved the determination of PwC’s remuneration by the Audit Committee. That proposal passed with 353,556,052 votes for, 9,454,489 against and 841,954 abstentions. In a notable governance result, shareholders approved a proposal requesting declassification of the Board. The proposal received 235,818,734 votes for, 35,431,208 against and 930,076 abstentions, with 91,672,477 broker non-votes. Declassification proposals typically seek to move a company away from staggered board terms toward annual elections of all directors, which governance advocates often view as increasing board accountability. A total of 363,852,495 ordinary shares were present in person or by proxy at the meeting, representing 79.25% of the combined voting power entitled to vote and constituting a quorum. Holders of ordinary shares as of April 15, 2026, were entitled to one vote per share. The filing did not report any insider purchase or sale transaction, option exercise by an insider, or Form 4-style transaction codes; the reported actions were corporate governance, compensation-plan and shareholder-vote matters.
