Market action

A concise summary of the latest filing, transaction, or market-moving item.

Modine Manufacturing Co. reported a change in how it will present its business results, saying it has reorganized its former Climate Solutions segment into two separate operating segments: **Data Centers** and **Commercial HVAC**. The change took effect **April 1, 2026**, and will be reflected beginning with Modine’s reporting for the **first quarter of fiscal 2027**. As a result, Modine will now report three operating segments: **Data Centers**, **Commercial HVAC**, and **Performance Technologies**. The company said the split is intended to let management deploy its “80/20 strategy” more effectively, with a particular focus on growth opportunities in the Data Centers business while also optimizing margins and cash flow. Modine said the new segment structure matches how its chief operating decision maker now evaluates performance and allocates capital. The company emphasized that the realignment does **not** restate prior financial statements and does **not** affect Modine’s consolidated financial position, results of operations, or cash flows. It also said the change has no impact on the previously reported financial results of the Performance Technologies segment. In connection with the new structure, Modine furnished **unaudited historical segment operating and adjusted financial results** under the new reporting format. The recast information covers the quarter ended **June 30, 2025**, the quarter ended **September 30, 2025**, the quarter ended **December 31, 2025**, and the quarter and fiscal year ended **March 31, 2026**. The filing was made under **Item 7.01, Regulation FD Disclosure**, with the recast segment schedules furnished as **Exhibit 99.1**. Modine also reiterated a previously announced transaction involving its Performance Technologies business. In **January 2026**, Modine and **Gentherm Incorporated** announced definitive agreements under which Modine would spin off and simultaneously combine its Performance Technologies segment businesses with Gentherm in a **Reverse Morris Trust transaction**. Modine said it expects the transaction to close by the end of **calendar 2026**, subject to approval by Gentherm shareholders and other customary closing conditions. Because the planned spin-off does not qualify as a sale under U.S. GAAP, Modine said it has not classified the assets and liabilities of the Performance Technologies segment as held for sale. However, the company expects to classify Performance Technologies as a **discontinued operation** beginning in the period when the transaction is completed. The filing also explains the company’s use of non-GAAP measures in the recast segment materials, including **adjusted EBITDA** and **adjusted EBITDA margin**. Modine defines adjusted EBITDA generally as net earnings excluding items such as interest expense, income taxes, depreciation and amortization, other income and expense, restructuring expenses, impairment charges, pension termination charges, acquisition and disposition costs, and certain other gains or charges. For business segments, adjusted EBITDA is defined as operating income excluding depreciation and amortization, restructuring expenses, impairment charges, and certain other gains or charges.
