Market action

A concise summary of the latest filing, transaction, or market-moving item.

Monster Beverage Corp. director Ana Demel reported a new equity award in a Form 4 filing tied to a July 8, 2026 transaction date. The filing reports that Demel received 2,039 restricted stock units, or RSUs, covering Monster Beverage common stock. The RSUs are derivative securities, with each unit representing either a contingent right to receive one share of Monster Beverage common stock or, at the company’s election or under the plan terms, a cash amount equal to the value of the shares as of the vesting date. The filing indicates that no exercise price is applicable to the RSUs. The document references the award in connection with “2,039 shares,” and the RSUs are reported as beneficially owned following the transaction. The vesting schedule is tied to Demel’s continued service as a director. According to the explanatory notes, 100% of the RSUs will vest on the last business day before Monster Beverage’s 2027 annual stockholder meeting, provided Demel remains a director through that date. This type of grant is consistent with annual director compensation, where non-employee directors often receive equity that vests over the period leading up to the next annual meeting. The filing also includes information about deferred stock units, or DSUs, credited under the Monster Beverage Corporation Deferred Compensation Plan for Non-Employee Directors, which is a sub-plan of the company’s 2017 Compensation Plan for Non-Employee Directors, as amended and restated on February 23, 2022. However, the filing expressly states that no transaction is being reported for that line; it is included only to report holdings as of the filing date. Each DSU is economically equivalent to one share of Monster Beverage common stock. DSUs under the deferral plan are generally settled in stock, other than fractional units, and become payable according to the election or terms of the plan, including on a specified date or event, in the calendar year after the director’s board service ends, or upon death, disability, or a change in control. The filing was signed on July 10, 2026, by Paul J. Dechary as attorney-in-fact for Demel.
