Market action

A concise summary of the latest filing, transaction, or market-moving item.

Lennar Corp. director Jeffrey Sonnenfeld reported a change in his beneficial ownership of Lennar Class A common stock tied to the company’s outside directors’ compensation program, not an open-market purchase or sale. The Form 4 reports activity dated July 10, 2026, the record date for a dividend on Lennar’s common stock. As a result of that dividend, Sonnenfeld received deferred stock units, or DSUs, including dividend-equivalent units credited on previously deferred quarterly cash director fees and on an unvested annual DSU grant. The filing lists Class A common stock-related holdings including 27,846 shares/units, with a referenced price of $591 per share, which the footnote states was the closing price of Lennar’s common stock on the dividend record date. The DSUs fall into two categories. “Director’s Fee DSUs” were issued in respect of Sonnenfeld’s deferred quarterly cash director’s fee and are fully vested. “Annual Grant DSUs” were issued in respect of his unvested annual DSU grant and will vest on the same schedule as the annual DSU grant to which they relate. In both cases, the DSUs will not convert into actual shares of Lennar Class A common stock until Sonnenfeld ceases to serve on the company’s board of directors. The filing also notes that fractional DSU amounts were rounded down to the nearest whole number. No sale transaction, cash exercise, or open-market acquisition is described in the text, and no transaction code is shown in the provided filing excerpt. The report was signed on July 14, 2026, by Mark Liberman as attorney-in-fact for Sonnenfeld.
