Market action

A concise summary of the latest filing, transaction, or market-moving item.

Home Depot, Inc. reported an insider ownership change for Michael F. Rowe on a Form 4 filed May 29, 2026, covering an event dated May 28, 2026. The filing concerns derivative securities tied to Home Depot common stock, specifically “phantom stock units” held by Rowe. According to the explanatory notes, the phantom stock units represented interests in a unitized issuer stock fund made up of Home Depot stock and cash. Because the fund was unitized, the number of phantom stock units Rowe was deemed to beneficially own could fluctuate depending on the mix of cash and stock in the fund on a given date. The reported action was not described as an open-market purchase or sale. Instead, the filing states that the phantom stock units were subject to non-discretionary liquidation upon Rowe’s separation from service from a Canadian affiliate of Home Depot. In other words, the transaction appears to have been triggered automatically by his departure from that affiliate, rather than by a discretionary trading decision. The provided filing text does not disclose the number of phantom stock units involved, any transaction price, a transaction code, or Rowe’s exact beneficial ownership after the reported transaction. The filing was signed on Rowe’s behalf by Stephanie Bignon, attorney-in-fact, on May 29, 2026.
