About the company

Alphabet Inc. Class C

Alphabet Inc. is an American multinational technology conglomerate holding company headquartered in Mountain View, California. It was created through a restructuring of Google on October 2, 2015, and became the parent holding company of Google and several former Google subsidiaries. Alphabet is listed on the large-cap section of the Nasdaq under the ticker symbols GOOGL and GOOG; both classes of stock are components of major stock market indices such as the S&P 500 and Nasdaq-100. Alphabet has been described as a Big Tech company. The establishment of Alphabet Inc. was prompted by a desire to make the core Google business "cleaner and more accountable" while allowing greater autonomy to group companies that operate in businesses other than Internet services. Founders Larry Page and Sergey Brin announced their resignation from their executive posts in December 2019, with the CEO role to be filled by Sundar Pichai, who is also the CEO of Google. Page and Brin remain employees, board members, and controlling shareholders of Alphabet Inc.

Market action

A concise summary of the latest filing, transaction, or market-moving item.

Alphabet Inc. reported that it is releasing its financial results for the quarter ended June 30, 2026, and holding a related conference call on July 22, 2026. The Form 8-K was filed under Item 2.02, “Results of Operations and Financial Condition,” indicating that the filing’s purpose is to announce quarterly earnings materials rather than disclose an acquisition, financing, insider trade, management change, or other corporate transaction. The company said its earnings press release, dated July 22, 2026, is furnished as Exhibit 99.1 to the report. The filing also states that Alphabet will refer to non-GAAP financial information in both the press release and the conference call, and that reconciliations of those non-GAAP measures to comparable GAAP measures are included in the attached press release. Importantly, the 8-K text provided does not include the actual earnings release figures, so it does not disclose revenue, net income, earnings per share, segment results, guidance, buybacks, share counts, or other financial metrics in the body of the filing excerpt. It also does not report any insider purchases or sales, equity awards, option exercises, transaction codes, prices, or post-transaction ownership amounts. The information was furnished rather than filed for purposes of Section 18 of the Securities Exchange Act, meaning Alphabet is providing the earnings materials to the market but limiting certain liability and incorporation implications unless specifically referenced in a later filing. The report was signed on July 22, 2026, by Anat Ashkenazi, Alphabet’s Senior Vice President and Chief Financial Officer.
