Corning Incorporated reported an insider ownership change involving Kevin J. Martin, a Corning non-employee director, for a transaction dated June 30, 2026. The filing, signed on July 1, 2026 by Melissa J. Gambol under power of attorney, describes an award of restricted stock units tied to Corning common stock. The reported securities are restricted stock units, or RSUs, each representing a contingent right to receive one share of Corning Incorporated common stock. The filing explains that the award represents an annual equity retainer in the form of RSUs, as well as RSUs granted under Corning’s Non-Employee Directors’ Deferred Compensation Plan. The filing indicates that the RSUs do not immediately convert into common shares. Instead, conversion of the RSUs into Corning common stock, and distribution of that stock, is deferred until either a specific date elected by the participant or the termination of Martin’s service as a Corning director. This treatment applies both to the annual equity retainer RSUs and to RSUs granted under the deferred compensation plan. No open-market purchase or sale is described in the provided filing text, and no transaction price, transaction code, number of RSUs, or post-transaction ownership total is included in the excerpt. The significance of the report is that it records director compensation delivered in equity-linked form, increasing Martin’s deferred economic exposure to Corning common stock without indicating an immediate cash transaction or immediate issuance of freely transferable shares.

About the company
Corning Incorporated
Corning Incorporated is an American multinational technology company specializing in glass, ceramics, and related materials and technologies including advanced optics, primarily for industrial and scientific applications. Founded in 1851, the company was called Corning Glass Works for most of its history. Corning was known during the 20th century for its consumer product lines, such as including CorningWare and Visions Pyroceram-based cookware, Corelle Vitrelle tableware, and Pyrex glass bakeware. It divested its consumer product lines in 1998 by selling the Corning Consumer Products Company to Borden. As of 2014, Corning had five major business sectors: display technologies, environmental technologies, life sciences, optical communications, and specialty materials. Corning is involved in two joint ventures: Dow Corning and Pittsburgh Corning. The company completed the corporate spin-offs of Quest Diagnostics and Covance in January 1997. Corning develops and manufactures Gorilla Glass, which is used by many smartphone makers. It is one of the world's biggest glassmakers. Corning is one of the main suppliers to Apple Inc. since working with Steve Jobs in 2007 to develop the iPhone.
