Ford Motor Co. filed a current report on July 2, 2026, stating that it issued a news release the same day concerning the company’s U.S. sales results for the second quarter of 2026. The filing was made under Item 8.01, “Other Events,” indicating that Ford is using the Form 8-K to publicly furnish or file information it considers relevant to investors but that does not fall under a more specific 8-K event category. Ford said the July 2 news release is filed as Exhibit 99 and incorporated by reference into the report. The filing also lists Item 9.01, “Financial Statements and Exhibits,” solely to identify the attached exhibit: the second-quarter 2026 U.S. sales news release, along with the required Inline XBRL cover page file. The document itself does not include the sales figures, segment breakdowns, vehicle model performance, pricing, securities transactions, share counts, or insider trading activity. It also does not report any issuance of securities, executive appointment, merger, financing, dividend, or other capital markets transaction. The filing matters because Ford’s quarterly U.S. sales are a key operating indicator for investors, analysts, suppliers, dealers, and competitors. The second-quarter 2026 sales release would typically provide insight into demand for Ford’s vehicle lineup, including trucks, SUVs, commercial vehicles, hybrids, and electric vehicles, as well as broader trends in market share, inventory, and consumer demand. The Form 8-K formally places that sales update into Ford’s SEC disclosure record as of July 2, 2026.

About the company
Ford Motor Company
The Ford Motor Company is an American multinational automobile manufacturer headquartered in Dearborn, Michigan, United States. It was founded by Henry Ford and incorporated on June 16, 1903. The company sells automobiles and commercial vehicles under the Ford brand, and luxury cars under its Lincoln brand. The company is listed on the New York Stock Exchange under the single-letter ticker symbol F and is controlled by the Ford family. They have minority ownership but a plurality of the voting power. Ford introduced methods for large-scale manufacturing of cars and large-scale management of an industrial workforce using elaborately engineered manufacturing sequences typified by moving assembly lines. By 1914, these methods were known around the world as Fordism. Ford's former British subsidiaries Jaguar and Land Rover, acquired in 1989 and 2000, respectively, were sold to the Indian automaker Tata Motors in March 2008. Ford owned the Swedish automaker Volvo from 1999 to 2010. In the third quarter of 2010, Ford discontinued the Mercury brand, under which it had marketed middle priced cars in the United States, Canada, Mexico, and the Middle East since 1938.
